1. Acceptance of Terms

Welcome to our platform. By accessing or using our website, tools, features, and services (collectively, the "Platform"), you agree to be bound by these Terms of Service (the "Terms"). If you do not agree to these Terms, you may not register, access, or use the Platform.

If you are registering an account on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind such entity to these Terms.

2. User Content & License Grant

Authors and creators retain full ownership of the artwork, books, manga, text, illustrations, and other content they upload to the Platform ("User Content"). We do not claim ownership rights over your User Content.

License Grant to Platform

By uploading, submitting, or posting User Content, you hereby grant the Platform a worldwide, non-exclusive, royalty-free, fully-paid, sub-licensable, and transferable license to host, store, cache, reproduce, distribute, display, perform, adapt, transmit, and promote your User Content solely for the purpose of operating, improving, providing, and marketing the Platform to users.

This license is terminated when you delete your User Content from the Platform, except for automated server backups, caching, or promotional materials previously distributed.

3. DMCA Safe Harbor & Designated Agent

The Platform operates as a neutral host and service provider under the safe harbor provisions of the Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512. We do not pre-screen uploads, but we act expeditiously to address copyright notices.

If you believe that any content hosted on the Platform infringes your copyright, you can submit a formal takedown notice to our Designated Copyright Agent via our Infringement Report Page or by writing to:

Your notification must include: a physical/electronic signature of the owner or authorized representative; identification of the copyrighted work claimed to have been infringed; identification of the infringing material with sufficient detail for location; contact info; a good-faith belief statement; and a perjury statement of accuracy.

4. Repeat Infringer Policy

To protect original creators, the Platform enforces a strict, transparent repeat infringer policy. We track validated DMCA strikes accumulated by accounts within a rolling 12-month period.

Enforcement is executed as follows:

  • Strike 1: Content is removed. Author receives an email warning and detailed instructions regarding copyright compliance.
  • Strike 2: Content is removed. Author's upload and withdrawal privileges are suspended for 30 days.
  • Strike 3 (Final): The author's account is permanently terminated. All active listings are removed, and funds remaining in the account may be held or forfeited in accordance with legal requirements.

5. Counter-Notice Process

If you believe your content was removed by mistake or misidentification, you may submit a formal counter-notice. Upon receiving a valid counter-notice, we will forward it to the original reporting party.

Pursuant to federal law, the original reporting party then has 10 to 14 business days to respond with proof of filing a court action seeking an order to restrain the uploader. If no such action is filed, the Platform is legally required to restore the removed content.

6. Indemnification Clause

You agree to defend, indemnify, and hold harmless the Platform, its parent company, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Platform; (ii) your violation of any term of these Terms of Service; (iii) your violation of any third-party right, including without limitation any copyright, trademark, intellectual property, or privacy right; or (iv) any claim that your User Content caused damage to a third party.

7. Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, THE PLATFORM DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

IN NO EVENT SHALL THE PLATFORM BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS SHALL BE CAPPED AT THE GREATER OF: (A) ONE HUNDRED UNITED STATES DOLLARS ($100), OR (B) THE FEES PAID BY YOU TO THE PLATFORM IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

8. Prohibited Content

Users must comply with all applicable community guidelines. The following content is strictly banned and will result in immediate content removal and potential law enforcement referral:

  • CSAM: Child Sexual Abuse Material or content depicting the sexualization of minors (including fictional artwork, anime, and manga).
  • NCII: Non-consensual intimate imagery, doxxing, or harassment.
  • Violent Content: Graphic depictions of extreme real-world violence, suicide, or terrorism.
  • Pirated Material: Unlicensed scans, translations, or copies of manga/books owned by legal entities.

9. Arbitration & Class Action Waiver

Any dispute arising out of or relating to these Terms shall be settled by binding arbitration in accordance with the American Arbitration Association (AAA) commercial rules. The arbitration shall take place in the jurisdiction of [YOUR GOVERNING STATE].

Class Action Waiver: YOU AGREE THAT DISPUTES WILL BE ARBITRATED ONLY ON AN INDIVIDUAL BASIS AND WILL NOT CONSOLIDATE WITH ANY CLASS ACTIONS OR REPRESENTATIVE PROCEEDINGS.

10. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of any material changes via email or dashboard notification. Your continued use of the Platform after changes are posted constitutes your acceptance of the updated Terms.
